The ContentWorkspace platform and all related services are provided “as is” and “as available,” without warranties of any kind—express or implied. We expressly disclaim liability for uptime, updates, security, performance, or fitness for a particular purpose, to the fullest extent allowed by law.
b. No Consequential Damages
In no event shall ContentWorkspace, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits, business interruption, loss of data, or reputational harm—even if we were advised of the possibility of such damages .
c. Cap on Liability
To the fullest extent permitted by law, ContentWorkspace’s total cumulative liability across all claims arising out of or related to your use of the platform will not exceed the amount you paid for our service in the 12 months preceding the claim.
2. Warranties and Disclaimers
- We make no representations or warranties regarding the accuracy, reliability, or completeness of any content you upload, generate, or share via our platform.
- To the extent applicable law prohibits full disclaimer, ContentWorkspace’s liability is limited to the fullest extent permitted by law.
3. Indemnification
You agree to indemnify and hold ContentWorkspace harmless—including our affiliates, officers, directors, employees, and agents—from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising from:
- Your violation of these Terms,
- Your negligence or willful misconduct,
- Any content you upload or share, including third‑party claims (e.g., defamation, copyright infringement),
- Your use (or misuse) of the platform, or
- Any use of data or services obtained from the platform.
4. Force Majeure
ContentWorkspace will not be liable or in breach of these Terms for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: natural disasters, strikes, war, terrorism, government action, network failures, cyber-attacks, or other force majeure events.
5. Termination and Survival
- We reserve the right to suspend or terminate your access to the service at our discretion—especially if you breach these liability or indemnification provisions.
- Upon termination, the limitation of liability and indemnification clauses will continue to apply to any claims arising before or after termination.
6. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.
